摘　　要： 经济学上可以将凝聚在人身上的知识、体力、技能等人格要素作资本看待 ,但限于公司资本的固有特征 ,不能将这些人本身的构成要素作为公司的注册资本 ,否则将不可避免在逻辑上和实务上陷于困境。 One can take man's knowledge, physical strength and craftsmanship as capital in economics, but these factors cannot be so treated in corporate law on account of the inhere characteristics of corporate capital, otherwise, we'll fall into mess both in logic and in practice.
