摘　　要： 并购浪潮风起云涌,为了生存,在某一段时间里,公司必须保持持续扩张,从而使得并购不可避免。企业如何在这个看似混浊的并购市场,寻找秩序,从而赢得属于自己的占绝大份额的“蛋糕”呢?文中以产业演进阶段为契机,融合投资理念,通过勾勒企业所处产业的产业演进曲线,从而为现阶段的企业科学定位,并创造性地使用并购能力计分卡对企业自身进行并购能力剖析,进而指导企业战略并购动机分析,且给出了一些特别有实践指导意义的启示,帮助实现成功并购。 M＆A tidal wave likes arising wind and scudding clouds ,corporation must keep sostenuto expand in order to survive in some periods, whitch makes M＆A inevitaably. How do corporations look for order in a turbid M＆A market , then bear off bid share ＂cakes＂ of their own ？As industries evolvement phases for monment and introjecting investment thoery , this paper orientate corporation at the present phase by outlining evolvement curve of industuy where the corporation locates,and uses innovately M＆A capability count-mark-cacorie for oneself capability analysis ,then instructs corporation＇s stratagy motive analysis ,at last it supplies some particula practice content inspires to help achieve succeed M＆A.
