摘　　要： 1946年修订、颁布的《中华民国公司法》是处于半殖民地半封建社会的中国最后一部公司法 ,与以前的公司法相比 ,其体例发生了较大变化 ,内容也更为丰富 ,这些变化部分纯为应时之作终遭淘汰 ,另一些则直接为台湾公司法所沿袭。 The company law of the Republic of china amended and published in 1946 was the last company law of the china in semi-colonial , semi-feudal society. Comparing with the former company laws of china , there were some changes in form and more abundent content in the company law published in 1946 . All these changes , some were enacted at the historic moment and fallen into disuse at last , but the others were followed by the company law of Taiwan .
