中国企业跨国并购的组织优化与模式创新

摘  要: 跨国并购是中国对外直接投资的重要手段,自加入世界贸易组织之后,无论是并购案例数量、规模还是投资领域,中国企业跨国并购都呈现出快速增长的态势。实际上,跨国并购并非单纯的投资或者融资行为,而是要将投资、整合、生产、经营等活动融为一体的复杂的系统工程。一般情况下,为了提升跨国并购的成效,促进跨国并购的可持续发展,除了要深入研究跨国并购的微观传导机制,还应对组织控制问题进行分析和实践,提升组织的静态与动态协同效应,让实施跨国并购的中国企业保持和提升其国际竞争优势,这不但是跨国企业在经济全球化背景下的必然选择,也被视作中国企业组织结构发展的必然趋势。 Transnational merger and acquisition is an important innovation of China's foreign directinvestment means, since joining the world trade organization, whether m&a case number, size, or investment,shows a tendency of rapid growth. In fact, including Chinese enterprises transnational m&a is not a simpleinvestment or financing behavior, but to investment, integration, production, management and other activities ofcomplicated system engineering. In general, in order to improve the effectiveness of transnational merger andacquisition, to promote the sustainable development of transnational mergers and acquisitions, in addition todelve into the microscopic conduction mechanism of transnational merger and acquisition, still should accordingto organizational control problem analysis and practice, especially the current pattern of the world economyrapidly changing environment, it should be given deep consideration. Only so, can achieve the optimal allocationof resources especially organizational resources, effectively reduce organization operation cost, at the same time,according to the requirements of the global economic development and competition need to optimize theorganizational structure and innovation, also can improve the efficiency of the organization, enhance the staticand dynamic synergies, to implement cross-border m&a of Chinese enterprises to maintain and improve itsinternational competitive advantage, it is the inevitable choice of multinational enterprises under the backgroundof economic globalization, is also the inevitable trend of China's enterprise organizational structure.
