摘　　要： 随着经济全球化进程的加快,国际贸易日益发达,路货买卖在国际贸易中越来越受到重视。路货买卖,也即买方和卖方就处于承运人掌管之下的在运输途中的货物达成销售协议的活动。路货买卖的一个关键问题是确定货物风险转移的时间。针对不同情形,适用不同标准来确定这个时间,对促进路货买卖的发展意义深远。鉴于目前《国际货物销售合同公约》/(以下简称《销售公约》或“CISG”/)已成为国际贸易领域最重要的一个条约及其第68条对路货风险转移制度的规定最有代表性,笔者以《销售公约》第68条为对象来研究路货风险转移的问题。 本文分为四部分。第一部分阐述了《销售公约》中路货风险转移制度的一些基本概念,如路货买卖、货物风险等,并对第68条的历史进行了一番梳理,以求找到该条的立法线索和演变规律。在第二部分着重从语义、比较、实证的角度对《销售公约》第68条的内容进行了解读和评析。该条确立了路货风险转移的基本原则——合同订立主义,取代了之前的交付主义原则。第三部分分析了货物特定化、选择贸易术语和当事人违约等因素对第68条适用的影响。第四部分阐述了我国的相关规定及其存在的问题,并提出一些完善的意见。 Along with economical globalization advancement quickening and the international trade developing,cargo-saling play a important role in international trade day by day. Cargo-saling,also is the activity that the buyer and the seller reach a sale agreement on the goods in transit.An essential question in cargo-saling is to determine the time of the passing of cargo risk.for different situations using different standard help to Accelerate the development of the cargo-saling.In view of the fact that at present,the Convention on Contracts for the International Sale of Goods/('CISG' /) has become the most important treaty in international trade field as well as its article 68~/(th/) is the most representative in stipulating the system on the passing of cargo risk,the author take the article 68~/(th/) of the CISG as the object of study. This article divides into four parts.The first part elaborated the basic concept of the system on the passing of cargo risk in CISG,and through combing the history of the article 68~/(th/) of the CISG,find the Evolution rules and legislation clues of the article.In the second part,the author emphatically from semantic,comparative,Empirical Analysis viewpoint explained and evaluated the article.This article established the basic principle of the passing of cargo risk—the risk passes to the buyer from the time of the conclusion of the contract, instead of the before principle—the risk passes to the buyer when delivery.The third part has analyzed the impact of some factor on the application of the article.These factors include cargo-identifying,trade terminology and parties violation.The fourth part elaborated our country's correlative stipulation as well as its question,and gives some suggestions how to perfect it.
