摘　　要： 从比较一人公司债权人和一般有限责任公司债权人的投资风险,对我国一人公司债权人保护制度进行研究。研究比较得出一人公司在创立、营运、清算各过程中,以及其公司人格、组织多方面,一人公司债权人所承担的投资风险大大高于一般有限责任公司债权人。一人公司债权人的利益以一般有限责任公司债权人的法律来保护明显不足够,一人公司制度应该有一套适合该制度的法律来保护其债权人。而该保护一人公司债权人的法律制度主要针对一人公司股东权利过大、监督不足等漏洞,并借鉴国际上对一人公司债权人保护的经验,在一人公司组织、股东与董事责任、债权人的自我保护权等几方面增强债权人的保护作出对策。 Compare with the risk of investment of the creditor from one-man company and normal limited company in order to study the system of protecting the creditor from one-man company.By the result of comparison of the character and the structure of both kind of company,the risk of investment of one-man company's creditor is higher than the creditor from normal limited company when a one-man company set up,operating and bankrupt.Therefore,the creditors of one-man company need an appropriate system to protect their right.This system mainly contrapose the single shareholder's overabundance of power and lack of supervision in one-man company,and use for reference the regulation from the other countries to propose some way to protect the right of the creditor from one-man company,especially consummating the structure of the one-man company,increasing the obligation of the single shareholder and director,and the way for creditors to save them self.
