摘　　要： 农村土地承包经营权流转是伴随着我国农村经济社会快速发展和农业发展方式转变而产生的新的土地经营方式，是土地和农村劳动力等生产要素优化配置、农民收入提高和农业现代化快速发展的必然需求。深入考察和探讨承包经营权流转的本质，对破解中国农业小规模低效经营、挖掘流转市场的根本动力、探寻市场主体的流转意愿、解决流转实践中出现的各种矛盾、构建合理健康的流转机制和促进流转市场不断完善等具有重要意义。农户与业主是农用地流转的交易主体,双方的流转意愿对于农地流转的可持续性和合法性、合理性具有重大意义。在市场化的语境中,一个可持续的内生型农地流转只有对交易双方皆为有利的背景下才能发生,这要求农用地流转后必须创造出比流转前更高的收益,并且该项收益在农户和业主之间的分割满足帕累托标准。而从技术上看,更高的土地收益主要来源于业主投入的资本、技术对劳动力的替代所带来的效率改进,业主的“企业家才能”带来的效率改进,以及规模效应带来的效率改进,至于效率改进带来的流转收益的分割则主要借助双方签订的流转合同来实现.本文主要根据广东梅州市雁南飞通过土地经营权的流转而取得相关开发权，从而在一定程度上极大的促进了土地资源的更加合理使用和优化配置，当地农民也通过经营权的流转而取得了更多、更实际的利益，满足了其生活需求，还促进了当地经济结构的一定调整。 Contracting of rural land is along with China's rapid social and economicdevelopment in rural areas and transformation of agricultural development of newforms of land management, is the optimal allocation of factors of production such asland and rural labor, farmers ' income increase and the inevitable demand for rapiddevelopment of agricultural modernization.
