摘　　要： 融资担保公司的存在对解决中小企业融资难、促进中小企业发展乃至整个市场经济的发展都发挥了巨大的作用。但是目前我国融资担保公司法律规制存在很多不足，导致了我国融资担保市场的混乱。完善对我国融资担保公司的法律规制非常必要。本文对我国融资担保公司法律规制的现状进行分析，重点指出我国融资担保公司法律规制存在的问题，并在分析、借鉴美、日两国融资担保公司法律规制制度的基础上，提出完善我国融资担保公司法律规制的建议。 本文除引言和结语外，共分为四章。 第一章对我国融资担保公司法律规制的现状进行分析，并重点提出我国融资担保公司法律规制存在的问题。 第二章从不同的角度论述完善我国融资担保公司法律规制的必要性和可行性，为下文提出完善我国融资担保公司法律规制的具体构想奠定逻辑前提。 第三章对美、日两国融资担保法律制度进行评述与分析并总结出两国融资担保法律制度可供我国借鉴的内容。 第四章针对我国融资担保公司法律规制存在的问题，借鉴美、日两国的成功经验，提出完善的建议。 Financial guarantee companies have played an important role in solving the financingdifficulties of SMEs. It is helpful in the developing of SMEs as well as the economy.But atpresent，there are many shortcomings in the legal regulation system of financial guaranteecompanies, and these must be changed. In this article, in the first, the author analyzes thestatus of the legal regulation system of the financial guarantee companies and indicates theproblems in it. And then study on the successful experiences of the United States and Japan.At last, the author gives his suggestions. In addition to the introduction and conclusion of this article, it is divided into fourparts. In the first part, analyzes the status of the legal regulation system of the financialguarantee companies and indicate the problems in it. In the second part, analyzes thenecessity and feasibility of improving the financing guarantee company legal regulationsystem. In the third part, study on the successful experiences of the United States and Japanin their legal regulation system of the financial guarantee companies. And in the last part,the author puts forward some concrete suggestions to improve our financial guaranteecompany legal regulation system.
