摘　　要： 工商行政管理部门，是联系民生最紧密、服务群众最直接的政府部门，是最能体现政府公共服务职能和社会管理职能的政府部门，社会发展要求工商行政管理部门改变以往的以监管为主的履职模式，建立“服务型工商”，这是“服务型工商”概念早于“服务型政府”概念在国内登场的现实原因。 公共服务型政府管理模式的研究及实践始于西方，引进中国后，国内学者定义其为“服务型政府”，随着服务型政府建设写入政府报告，成为党和政府的路线方针政策，服务型政府建设就一直是我国政府改革和公共管理学者研究的关注重点。一般来讲，现代政府被划分为两大类，一类是管制型政府，一类则是与之相对的服务型政府，作为主管市场监督管理和有关行政执法工作的政府行政机构，工商行政管理机关深刻的反映着政府的特性。 企业注册登记工作是工商行政管理机关的法定职能之一，它既与工商行政管理机关有共性，也因其先于工商行政管理机关产生的特殊性有别于其他职能。企业注册登记伴随着商业产生而诞生，在数千年的发展过程中走上了与西方商事登记制度完全不同的轨道，现行企业注册登记制度同时带有封建时代重农抑商和计划经济时期的政府管制者两重烙印，非常具备代表性及典型性。 在我国，党和中央政府的路线方针政策就是地方政府的依据，在我国尚未建立成熟的服务型政府理论体系和相关法律制度的背景下，地方政府单纯以中央政府号召为指引，对“服务”做有利于地方经济发展的理解，普遍存在着“重形式创新，轻制度改革”“重服务，轻法治”的现象。地方政府的“服务型政府”建设与“服务型工商”建设一拍即合，在市场准入门槛上采取的所谓服务型措施不少是游走于法律法规边缘，使得企业注册登记工作存在重大政治风险和法律风险，而且如此大张旗鼓的建设往往并未取得预想中的效果。 本文通过探寻我国工商行政管理机关的职能沿革、企业注册登记的历史渊源、发展历程及当下商事登记制度改革情况，研究企业注册登记工作中的问题成因及解决途径。 The Western World research the theory of Service-oriented government at the first, theadministrative authority for industry and commerce contact the people tightly and serve thepeople directly, also reflect the government public service function and social managementfunction of government, before the theory of Service-oriented government was enrolled in thegovernment work report, the administrative authority for industry and commerce hadproposed the concept of service-oriented business.Enterprise registration system with the rule of the feudal thephysiocrats antimicrobial agentand double "control" of socialist planned economy, are very representative and typicality.In the process of construction of a service-oriented government, the phenomenon about "valuethe form innovation and the system not equally","value the service and the law not equally" isvery common, and the same problems occur in construction of a service-oriented business,bring significant political risk and legal risk. Through exploring the historical origin anddevelopment of China's enterprise registration system of commercial registration of courseand the present reform, the research problem causes and solutions, for constructing theservice-oriented business can provide a glimpse, illuminates the reference.
