摘　　要： 国有企业公司治理的好坏对于我国经济的发展非常重要。但是就目前我国国有企业公司治理的实际情况来看,引入公司治理的初衷并没有实现,企业内部人侵犯国有资产的现象仍然存在。为此,本论文结合公司法学、制度经济学、寻租经济学等学科的内容,从寻租的角度来分析国有企业董事的行为活动。本论文分为五大部分,第一部分主要是对国有企业董事会治理及寻租理论思想作了相关介绍,第二部分主要是通过分析国有企业的性质和属性界定了国有企业的三种类型,然后具体地分析这三种类型的国有企业董事会在法律法规方面的不同特点,第三部分主要分析了不同类型的国有企业其董事主要采取的寻租方式,第四部分则分别对三种类型的国有企业董事寻租行为作了成本收益分析,探讨了董事寻租的根源所在,最后将这三种类型的董事寻租行为进行对比分析,第五部分也是全文的最后部分,该部分针对上述分析提出了解决问题的可行性对策,指出为了从根源上遏制国有企业董事寻租行为的发生,就必须从正式制度和非正式制度两个方面来完善国有企业董事会治理,进而健全国有企业公司治理。 The quality of corporate governance of state owned enterprises is very important for the development of China's economy. But on the actual situation of corporate governance for China's state owned enterprises, the phenomenon of insides misappropriate state assets still exists, that the original intention of the introduction of corporate governance has not been achieved. Therefore, from the perspective of rent-seeking, this paper combines the disciplines of company law, institutional economics, rent-seeking economics, analyzing the rent-seeking behavior of the directors of state-owned enterprises. The paper is divided into five parts, the first part is mainly made related presentations on the board of directors governance of state-owned enterprises and rent-seeking theory ideology, the second part defines three types state-owned enterprises through analyzing its nature and properties, and then described the different characteristics of the board of directors of this three types in terms of laws and regulations, The third part analyzes the three different types of state-owned enterprises directors how to take rent-seeking and its main way. The fourth part discusses the root cause of the directors of rent-seeking through a general cost-benefit analysis, and then contrasts their rent-seeking behaviors. The fifth part is the last part of this paper, this part puts forward the feasibility of strategies that should perfect the governance of the board of directors of state-owned enterprises from institutional and non-institutional aspects, and thus improve the corporate governance of state-owned enterprises in order to fundamentally curb the directors of state-owned enterprise rent-seeking behaviors.
