论商业秘密的法律保护—从人才流动视野的角度

摘  要: 随着科技的发展,社会的进步,国内外企业实力的增强,市场经济出于自发的资源合理配置,各企业面临着严峻的人才流失问题,人才流动的速度进一步加快,员工在职期间泄漏商业秘密,跳槽带走商业秘密的行为时有发生。员工“跳槽”行为也给企业和公平的市场竞争秩序带来了危机,造成凝聚着企业核心竞争力的商业秘密泄露。过高的员工流失率给企业的生存和发展构成巨大威胁,极大地限制了企业在我国的发展。 商业秘密作为雇主在市场竞争中获得优势的重要武器,如果允许竞争对手利用人才流动轻易获得他人花费大量心血形成的商业秘密,不仅损害个体的经济利益,而且将扰乱整个市场的正常竞争秩序,使诚信的商业道德荡然无存,有害于市场经济的健康发展。为避免因人才流动造成泄漏商业秘密、损害商业秘密权利人的商业秘密权,不少单位纷纷和员工订立竞业禁止等条款。但是,对于商业秘密保护的法律制度所规定的关系、雇员的保密义务、离职后的竞业禁止义务等,我国现行法的规定存在着范围狭窄以及界定模糊等弊端,造成了实践中雇主与雇员冲突频发、双方人力财力的极大浪费。笔者结合案例,重点分析了商业秘密的法律属性、构成要件及保护方式,人员流动下商业秘密法律保护的理论依据、历史沿革、分类和特点及其对商业秘密的价值。针对实践中经常出现的问题,具有一定的帮助作用。 Along with technical development, society's progress, domestic and foreign enterprisestrength enhancement,The market economy disposes reasonably stemming from thespontaneous resources, various enterprises face the stern brain drain question, the humanresource flow speed further are speeding up, the staff during one's term divulging businesssecret, changes job carries off the business secret the behavior to sometimes occur.The staff“changed job” the behavior also to give the enterprise and the fair market competition orderhas brought the crisis, created is condensing the enterprise core competitiveness businesssecret revelation. The business secret takes the employer to obtain the superiority in the marketcompetition the important weapon, if the permission competitor obtains the business secretwhich easily using the human resource flow other people expenditure massive painstakingcare form, not only harm individual economic interest, will harass the entire market thenormal competition order, causes the good faith the business ethics to be nothing left,harmfully in market economy healthy development.Because in order to avoid the humanresource flow creating the divulging business secret, the harm business secret obligee'sbusiness secret power, many units work out in abundance with the staff compete industryforbid and so on provisions. But, stipulated after the business secret protection's legal regimerelational, employee's security duty, leaves job to compete industry forbids the duty and so on,our country lex lata stipulation to have the scope to be narrow as well as limits fuzzy and soon malpractices, has created in the practice the employer and the employee conflicts thefrequency to send, the bilateral manpower financial resource enormous waste.The authorunifies the case, the selective analysis business secret's legal attribute, the constitutionimportant document and the guard mode, under the undertake transfer of personnel thebusiness secret legal protection's theory rested on, the historical evolution, the classificationand the characteristic and to the business secret value. Question which appears frequently inview of the practice, has certain help function.
