摘　　要： 公司资本是公司享有法人资格和独立对外承担责任的物质基础,它取决于公司股东如约缴纳出资。而股东出资瑕疵问题一直是公司领域比较多发的问题。由于股东出资瑕疵直接导致公司法人财产的减少,这不仅损害了公司和其他股东的利益,也损害了公司债权人的利益,同时也对社会经济的发展有着不可忽视的负面影响。在股东出资存在瑕疵时,如何保障其他股东、公司、公司债权人的利益,让出资瑕疵股东承担相应法律责任?我国有关股东出资瑕疵的法律规制并不健全,本文拟以最终完善我国规制股东出资瑕疵行为的法律制度为最终目的,对我国公司法中对股东出资瑕疵的法律规制进行了探讨。 本文共分为四部分： 第一部分研究了股东出资瑕疵行为的表现及危害。首先,从股东出资瑕疵行为的表现入手,分析了股东出资义务的性质并确定了股东出资瑕疵的概念,进而分析了我国实践中股东出资的主要表现形式。最后,论述了股东出资瑕疵的危害,以期强调规制有关股东出资瑕疵的法律完善的重要。 第二部分主要分析了我国关于股东出资瑕疵行为法律规制所存在的问题。从三个角度进行了探讨,分别是防止股东出资瑕疵的预警机制欠缺；规制股东出资瑕疵行为的程序和监督机制不健全；追究股东出资瑕疵的责任制度不完善。 第三部分是为在上部分提出问题的基础上,解决这些现存的问题所作的理论上的探讨,分别从事前预防、事中相应的程序规制及监督机制和事后责任追究三个方面进行全方位的探讨,以期对我国有关该制度的立法完善有所启发。 第四部分是在第三部分的基础上更进一步,对完善我国规制股东出资瑕疵行为的法律制度提出自己的建议,这也是本文的最终目的。 Corporate capital is the company enjoys independent legal person qualification and responsibility of foreign material foundation, it depends on the capital contributions for shareholders. But shareholders is contributive blemish is frequent problem of corporate sector. Due to the shareholders' contribution to defect of legal property company directly, it not only harm the interests of the company and the other shareholders of the company, also harm the interests of creditors, and also for the development of social economy has negative effects. When the flaws in the shareholder invested, how to guarantee other shareholders, the company, the company's creditors' interests, and make contribution to undertake corresponding legal responsibility flaw shareholders? Our relevant laws and regulations of the shareholder invested blemish, this paper is to perfect our final regulatory shareholder invested the legal system flaw behavior for the ultimate aim of our company, the shareholders' contribution to the defects in the legal regulation is discussed. This is divided into four parts: The first part of the study of the shareholder invested defects and behavior. First, from the shareholder invested defects of behavior, the paper analyzes the performance of the obligation of capital contribution shareholders and determine the nature of the concept of shareholder invested defects, and analyses the main shareholder invested in practice. Finally, this paper discusses the defects of the shareholder invested to relevant regulations, emphasize the shareholder invested defects of important laws. The second part is analyzed about the main shareholder invested defects existing legal regulation behavior problems. From three angles are discussed, respectively is to prevent defects in early warning mechanism shareholder invested deficient, Regulating the behavior of the program shareholder invested defects and supervision mechanism is not perfect, Criminal responsibility system of shareholder invested blemish is not perfect. The third part is put forward for the problems in part based on the existing problems, solutions to these of theory, this paper respectively in the corresponding prevention and before the program regulation and supervision mechanism and afterwards the responsibility of all three aspects, in order to perfect the system of related legislation. The fourth part is in the third part of the basis for further perfecting shareholder invested regulation of legal system flaw behavior of its recommendations, this is the ultimate goal.
