摘　　要： 　本文论述了股票期权激励作为解决公司治理困难的一种有效方法的理论基础,进而分析了股票期权激励实施的必要外部基础条件,为我国有效实施股票期权激励作为明鉴。 This paper discusses the theoretical basis for stock option stimulation as an effectiveway to overcome the difficulties in managing a company and analyses the external prerequisites for the implementation of stock option stimulation, which will help to form a penetrating judgment on effective implementation of stock option stimulation.
