摘 要: 公司僵局在我国公司实践特别是民营企业运营中经常发生,但未引起足够的重视。该文探讨了公司僵局的基本特征、形成因缘、危害及应对策略与机制,认为应对公司僵局应当融合公司法中私法与公法机制,综合运用公司章程自治功能、立法规制、司法适度干预、培养应对公司僵局的法律意识等多元化措施。 Corporate deadlocks are often generated in corporation practice, especially in the operation of individual-owned companies in China. This article discusses the basic characteristics, the reasons, the harm and the strategies and mechanism of the corporate deadlocks. Combining private law and public law within company law system, it maintains that, to handle corporate deadlocks, diversified measures should be synthetically taken, such as the autonomous function of the rules of incorporation, legislative regulations, proper interventions of judicature, and the fostering of legal consciousness.
