摘　　要： 现代企业制度的本质是有限责任 ,它包括股东的有限责任以及公司的有限责任。在所有权与控制权分离的背景下 ,拥有信息优势方的公司高层管理者就可能在公司“面纱”的保护下从事损害公司其他利益相关者权利的道德风险。认真研究公司“面纱”与公司高层管理者道德风险之间的内在关联 ,可以看出 ,有限责任的严格化将成为削弱或减低管理者道德风险的一种有效措施。 The essence of the modern corporation is limited liability, including the share-holders' limited liability and the corporate liability. With the separation of ownership and control, the executives of the corporation who have access to the corporation's information are able to run the moral risk of doing some damage to the other related persons' interest under the “veil” of corporation. By studying the inner relationship between the “veil” of corporation and the executives' moral risk, we can see that the strictness of limited liability will become an effective measure to weaken or reduce the executives' moral risk.
