摘　　要： 外商投资企业股权变更可能形成一人公司,而我国《公司法》并未对各国公司立法普遍承认的一人公司做出规定,一人公司导致的外资立法与《公司法》冲突的法律适用问题需要迫切解决。鉴于社会广泛存在的一人公司无法可依的现状,国家应通过立法形式予以规制,并实现外资立法与《公司法》的协调一致。 Share right variation in foreign-invested ventures may give rise to one-man corporation, which is not regulated in the Cor-poration Law of China. The foreign investment legislation caused by one-man corporation and the application problems due to its contradiction with the Corporation Law require immediate attention. In view of the present slate of condition, legislation should he introduced to regulate the one-man corporation, and at the same time the law on foreign-invested venture shall be kept in hannony with it.
