摘　　要： 甲午战后,晚清人士呼吁调整经济政策、发展商办企业,要求政府立法保护公司企业,规范公司企业的活动,探讨了创办中外合资企业、积极引进外资的问题。囿于企业实践活动,企业制度建设思想主张多集中于实际问题,缺乏理论深度。 After the Sino—Japanese war of 1894-1895, people asked to adjust the economic policy and to develop the private invested enterprises, required the government to protect the corporation enterprises and to standardize their activities by legislation, and probed into the problem of introducing foreign capital by establishing Chinese-foreign jointly invested enterprises. These thoughts mainly focused on the practical problems and lacked of theory depth because of limited enterprise practice.
