摘　　要： 国有商业银行股份制改造是银行商业化改革的核心问题和攻坚战。随着改革开放的不断深入 ,这一问题的解决已变得愈加迫切。目前 ,国有商业银行应突破认识上的误区 ,总结并借鉴新兴股份制商业银行的经验 ,审时度势 。 The reform of the share-holding system of the state-owned commercial bank is the key problem and a hard war in commercializing the bank. As the reform and the practice of the open-door policy getting deeper, This problem has become more and more urgent. The author of this paper analyses and criticizes various misunderstanding in the commercial bank system reform of property right; points out that the state-owned commercial bank should have an insightful view of the situation and quicken the step of share-holding system transform; he also puts forward some noticeable problems in the process of the reform and listing the stock on the market.
