摘　　要： 新制度学派认为 ,正式制度安排只有在社会认可 ,即与非正式约束相容的情况下 ,才能发挥作用。文章从非正式约束和个人理性的视角 ,以博弈论作为分析工具 ,应用制度变迁相关理论 ,比较了中国证券市场所经历的两次制度变迁——国企股份制改造和国有股减持 。 New institutional economists deem that formal constraints work well only when they accord with informal constraints. From the perspective of informal constraints and individual rationality, applying Game Theory and theories of institutional innovation, this paper compares two institutional transformations in Chinese securities market--the Reform of SOE and Reduced State Share Holding. Finally, the paper discusses the reason of different results of two institutional transformations.
