摘　　要： 股份有限公司的公司章程是否可以对股权转让作出限制,表面上看是一个是否尊重公司自治的问题,实际上引出的是对现行公司法立法理念的解读。在没有充分理由证明现行法存在错误的情况下,对股份公司限制股权转让的章程记载事项,无论对内还是对外都不应承认其作为章程的效力。但在同意该限制的内部股东之间可以基于契约关系处理相关纠纷。 Whether company constitution of Joint Stock Limited Company can restrict the transference of shares or not is seemingly the issue of respecting the autonomy of a company,but actually elicit the different interpretations of the current legislation of the company law.If there are no sufficient reasons to certificate that there is something wrong with the current law,the articles of the restriction on the transference of shares from Joint Stock Limited Company cannot be regarded as the validity of the regulation no matter on domestic or foreign cases.But the internal shareholders who have agreed on these restrictions can handle the related disputes based on the contractual relationship.
