摘　　要： 在总值超过６万亿元的国有资产中，相当部分正面临着流失和效益低下的问题，重要根源是国家和政府不恰当地充当了国有资产的产权主体和管理主体。解决的出路在于理顺产权关系。设想通过委托授权，构筑国资委一资产经营公司－生产性企业三级国有资产产权管理体系，由国有资产经营公司负责资产的保值增值营运。 How to manage and use the national assets well is very important for further development of out national economy. In the light of the managerial mode of modern enterprise systen, we can seperate the owner of the assets and the business manager, forming a stockholder union -board of directors executive system. So the representative of the national assets can discharge right and responsibilily of stockholder union and join the board of directors, enjoying the right to select different management corporations to manage the national assets so that the value of the national assets can be ensured and increased. To declare the legitimate status of the national assets' owner is the premise of carrying out the system.
