摘　　要： 治理结构是现代大学制度的核心,权力分配则是大学治理结构的关键。双层治理结构是西方大学的共同走向,实现了学术权力和行政权力的适度结合。董事会遵循公共规则和社会逻辑,通过角色分配和责任制实现治理;评议委员会遵循学术规则和自然逻辑,通过大学章程和学术自律实现治理。双层治理结构是现代大学制度的一种标准范式,在复杂多变的现代社会中达成了多元利益主体的平衡,既获取了足够的办学资源,又增强了大学的适切性。 The governance structure is the core of modern university system, and power distribution is the key of university governance structure. Dual governance structure is the common trend of Western University, which achieve an appropriate combination of academic power and administrative power. The board of directors implements the management through the role assignment and responsibility system, following public rules and social logic. The Review Committee implements the management through the University Constitution and academic self-discipline, following academic rules and the natural logic. Dual management structure of modern university is a standard paradigm, which has reached the interest balance of multi-parties in the complex and ever-changing society, both get enough education resources, and enhance the pertinence of university.
