摘　　要： 在我国男子足球项目职业化进程中,职业联赛产权归属模糊所导致的收益分配机制不合理,是影响职业化顺利发展的重要因素之一。而解决这些问题的根本,在于对更深层面的联赛股权结构进行调整改革。基于对资本权力错配的理论认识,从中国足球超级联赛是实行股份公司化运营的国有控股型企业而非私企或社团法人的角度进行研究,论证其国有资本特性与内在矛盾,并以此为依据探析其股权结构的不合理之处。提出当前联赛股权结构实质为委托代理人侵占和代行股东权"资本与权力错配"的结果。应当在界定中国足球超级联赛为准公共产品的前提下,将联赛的国有普通股转变为"优先股+1股黄金股"的方式去重置资本与权力,切实做到管办分离。在减少行政干预的同时也能保障国有资产权益,以促进中国男子足球职业化进程的顺利进行。 Unclear professional league property ownership and unreasonable income distribution mechanism is the most important factors which affecting the Chinese football professionalization. Solving these problems should be reform the shareholding structure of the CSL. State- controlled enterprise, rather than the private company or corporation aggregate Based on mismatch theoretical understanding of the power and authority, with the Chinese Super League is the implementation of the operations of the AG demonstrated its state-owned capital character- istics inherent contradictions and use it as basis exploration unreasonableness of the shareholding structure. The league shareholding structure essentially is capital and authority mismatch. The League＇s state-owned ordinary shares should change into ＂preference shares plus golden share＂ to reset the place of capital and authority and to protect the interests of state-owned as- sets, while reducing administrative intervention in order to promote the smooth progress of the process of professionalization of the Chinese football.
