摘　　要： 代理与代表是两种完全不同的技术与制度。在法人代表问题上 ,一直存在着将其处理为代理或代表的争论。比较来看 ,代表说更具有科学性与优越性。法人代表制是法人制度的重要组成部分 ,而在我国尚未形成系统性的规范 ,有待在精心设计中进一步得到健全与发展 。 Representation and agency are completely different techniques and systems. In the issue of the relationship between juristic person and its representative, the theory of representation provides a more scientific and more reasonable explanation than the theory of agency. In order to establish a series of perfect provisions, suggestions on the main contents of the representative system of juristic person are also been given.
