摘　　要： 国美控制权之争充分暴露了目前上市公司治理缺陷和不足,透过国美控制权之争,可以看到其公司治理结构的失衡,也能看到独立董事的人浮于事和独立董事制度所存在着的潜在危机,因此需要从完善法律法规、建立健全机制和行业组织等多个方面入手完善上市公司治理。 Battle for control of the Gome has fully exposed the defects and the current lack of corporate governance.Through the battle,we can see the imbalance of its corporate governance structure,we can also see the overstaffed independent director and the crisis of the independent director system.In order to improve corporate governance,we should improve laws and regulations,establish and improve mechanisms and industry organizations and so on.
