摘　　要： 国际金融危机令许多海外知名企业的资产在短时间内迅速缩水,价格因素的吸引力让很多资本充足、财务健康的中国企业产生并购的动机。本文通过分析中国企业跨国并购现状以及失败原因,并结合现有的有关并购整合的研究分析,认为中国企业的海外并购,必须做好充分的准备,拥有清晰的战略思考,才能使拥有相对优势的中国企业在海外并购中获得成功,同时,提出了中国企业跨国并购成功率的若干建议。 Due to the international financial crisis, many well -known enterprises overseas assets have been shrinking rapidly in a short time. Many Chinese companies with capital adequacy and financial health have the motive to merger the lower price enterprises. By analyzing the cross - border mergers and acquisitions of Chinese enterprises as well as the causes of the failure, this paper gives some recommendations to enhance the success rate of cross - border mergers and acquisitions.
