摘　　要： 在实务中极其重要的"公司控制权"概念,理论研究者应重视公司法既有理论对其的论证与检讨。公司控制权概念应当得到承认,只要对公司的法人性作相对化的理解,以及对实在观的法人本质理论的适用范围加以一定程度的限制,公司控制权在公司法的概念体系中,就可以获得合适的位置。 This paper discusses the concept of corporate control in the context of the theory of corporate law in China.If we limit the scope of legal personality of corporation,and the scope of the theory of real personality of corporation,the concept of corporate control may have its position in the corporate law in China.
