摘　　要： 世界金融危机对中国企业的海外并购是一次机遇,中国企业如何利用这种契机实施海外扩张和海外并购战略是本文关注的内容。本文从分析当前中国企业海外并购的动因出发,着重分析了在金融危机下中国企业的海外并购战略,即如何进行成功并购三步曲:并购目标的选择,并购的风险控制以及并购后的整合,从而实现海外扩张。 The current worldwide financial crisis functions as an opportunity for Chinese companies to perform mergers and acquisitions （M＆A） overseas. The paper focuses on how to realize oversea expansion and implement the oversea M＆A strategy by taking advantage of the opportunity. The paper analyzes the motives for the strategy, focusing on the present financial crisis as a circumstance in which the oversea M＆A strategy occurs. Therefore, the three stages of M＆A strategy is suggested： target choice, risk control, and integration afterwards.
