摘 要: 国家海洋主管机关以所有权人的代理人身份和海域使用权人之间订立的出让合同,无论是定性为行政合同还是民事合同,都要维持当事人之间权利义务的对等与平衡。从解释论上讲,由于我国现行法律制度上没有法国法上那一套行政合同的利益平衡机制,如将海域使用权出让合同解释为"行政合同",合同相对人的利益将无法得到有效保护。因此,应该根据我国实际情况,将海域使用权出让合同解释为民事合同。 Whether it is called administrative contract or civil contract, the equality and balance between duties and rights of all parties of the contract of assigning the usufruct of sea-zone between all levels should be maintained. If we describe the nature of the contract as administrative contract, the rights of the usufruct may be violated by all levels of the Maritime Bureau because there are no system in China to keep the balance of the parties' interests,like that does in France. So the best way is to interpret the contract as civil contract.
