摘　　要： 现代商业模式的转变对商法提出了新的要求,传统商法中一些较为僵硬的规定已经成为阻碍贸易发展的因素,不能够适应商业发展的新要求。文章评析了美国《统一商法典》价格待定条款在适应现代商业模式转变的需要、尊重契约自由原则、实现实质正义、公平与促进贸易发展方面的价值。并通过法经济学分析了其存在所依据的经济基础。结合国际统一合同法的发展趋势,建议我国合同法对此方面加以完善,进而与国际接轨。 The transformation of modern business model proposes new requirements to the commercial law. The infl exible stipulations in the traditional commercial law have already hindered the trade development and cannot adapt to the new requirements of the commercial development. This paper analyzes the value of the open price term in the UCC in terms of keeping pace with the development of commerce, respecting the doctrine of freedom of contract, realizing the substantial fairness and justice, and promoting the development of trade. Meanwhile, through the analysis of the underlying economical foundation for the open price term, suggests that China should revise its Contract Law according to the UCC in order to keep it in line with international standards.
