摘　　要： 民法与商法的区分及关系问题，除要考虑法律的调整对象之外，立法价值取向的差异也是非常重要的因素。民法以公平为最高价值取向，立法采公平优先原则；而商法以效益为最高价值取向，立法采效益优先原则。对商法价值取向的内涵及其与民法价值取向的区别进行分析比较可知，我国商事立法的合理模式应为：实行实质商法主义的民商分立，采取《商事通则》与单行商事法律相结合的商事立法基本形式。 When we resolve the question of the discrimination and the relation between the Civil Law and the Commercial Law, the difference of the value orientation of legislation is also an important factor which should be considered except the regulative obiective of the law. The civil law takes fairly as the maximum value orientation and considers it as the first principle; while the Commercial Law takes the benefit as the maximum value orientation and considers it as the first principle in the legislation. Through the comparative analysis on connotation of the Commercial Law and the difference between it and the value orientation of the Civil Law, we can found that it is the reasonable pattern that we should carry out the essential Commercial Law principle in the problem, and bond the Trading General Rule with the separate legislation of the Commercial Law.
