摘　　要： 民营企业发展所面临的障碍中,民营企业制度是非常重要的一个因素,民营企业自身的制度建设更多地表现为将政策法规内部化的过程,而健全的政策法规体系既是整个社会经济制度建设的核心内容,更是民营企业将政策法规内部化的基础和前提。从这种意义上讲,健全的民营企业法规体系应解决以下几个方面的问题:明确民营企业的法律地位、保护民营企业的产权,规范政府行为和保护市场竞争环节的法律,健全民营企业的治理结构和内部控制制度。 The authors point out that, among all the barriers in the development of private enterprises, system of private enterprises is the most important one. The construction of private enterprises＂ own system is demonstrated as the process of internalization of policy and regulation. In this sense, to improve the regulation system of private enterprises, we should, fast, clarify law position of private enterprises and protect their property right; second, improve the regulation of government behavior and the law for protecting market competition; and third, improve govern structure and private enterprises and the internal control system.
