摘　　要： 对当前世界上最典型的美英与德日公司治理模式进行了分析与比较,指出了我国公司治理结构存在的问题,提出了完善我国公司治理结构的总体思路。 The paper makes a comparative study of corporate governing structures in America,Great Britain, Germany and Japan. It points out problems of Chinese enterprises in corporate governance, and puts forward suggestions to polish Chinese corporate governing structure.
