摘　　要： 在最近几十年的公司发展中,一方面公司股份日益公众化和社会化,另一方面控股股东不断借助于新的机制和形式强化或滥用大股东权力。在此情况下,应当完善保护中小股东权益的有关法律机制,加强中小股东对股东大会决议瑕疵的直接诉讼权,并赋予代表诉讼提起权。 During the development of company over recent dozen years, the share of company has become increasingly public and socialized on one hand. On the other hand, some key shareholders continuously make use of new mechanism and new forms to strengthen or abuse the power of large shareholders. In such a situation, the legal mechanism concerned with protection of the interests of both medium and minor shareholders should be consummated, and the right of direct lawsuit for medium and minor shareholders against the drawbacks of shareholder meeting strengthened. They should also be empowered the representative right of lawsuit.
