摘　　要： 公司资本制度是公司法的核心制度之一,其建立与完善不仅对现代公司法相关制度具有至关重要的意义。而且对整个社会经济的发展也具有深远的影响。本文利用比较的方法,从以下方面对我国公司资本立法进行分析并提出完善的意见:公司资本形成制度的选择;公司最低资本限额;公司资本的构成,即出资方式;出资不实的法律责任。 The capital system of corporation is the core of corporation operation. The formation system of capital system is also an important part. The improvement of it is not only important for the foundation of modern enterprise system, but also for the economic development of social society. Under the background theory of corporation capital, using the way of comparative research, the thesis make a systematic research of corporation's capital formation system and bring out the proposals on perfecting the capital system of our country. There are four parts in the main part of the essay: first is on the legal basic principle of capital formation system; second is on the lowest norm of registered capital; third is on the constitution of corporation capital; fourth is on the obligation for the false corporation registered capital.
