摘　　要： 保护基金持有人利益是我国基金管理公司独立董事制度的重要功能之一,而独立董事制度的结构是决定其功能的核心要素。本文揭示了我国基金管理公司独立董事的总体情况、年龄构成、学历构成、职称构成和来源构成的现实状况,在对这些构成现状进行深入分析的同时提出了改进我国基金管理公司独立董事制度结构的对策建议,以期进一步完善我国基金管理公司治理,更好地保护基金持有人利益。 One of the important objectives of fund managementinstitutions to establish independent director system is to protectthe interest of fund holders. The structure of independent directorsystem is a core element to ensure its function. This paper is anoverview of the status quo of independent directors of Chinesefund managers, including their age, educational background,competence and working experience. Based on the in-depthanalysis, proposal is put forward to improve corporate governanceand better safeguard the interest of fund holders.
