摘　　要： 在商业秘密上设定质押是创新的理念 ,可以促进商业秘密的积极利用 ,突破传统的商业秘密的防御性制度体系 ,从而促进资金融通 ,为商业秘密持有人实现其利益最大化提供多元化的价值选择。商业秘密的价值性和可转让性决定了其完全符合知识产权质押的构成要件 ,商业秘密质押有支持其合理存在的理论和实证基础。虽然商业秘密的无形性相对秘密性对商业秘密出质构成一些客观障碍 ,但可以从制度合理构造的角度给予解决。 It is innovative for the study on trade secret that can be mortgaged to accelerate the active using of trade secret, break through the traditional defensive system, facilitate capital circulate freely, as well as provide multi-choices of values for each trade secret keeper trying his best to make maximum profit. The valuable and conveyable merits accord with the constitution of mortgage for intellectual property, in which there are enough academic and practical proofs to hold out the existent rationality of the mortgage on trade secret. The intangible and relative secret merits may block the mortgage on trade secret externally, which, however, can be solve in terms of constituting the reasonable system.
